THIS TRUST DEED IS MADE ON THE ........... DAY OF .............. 2007 BETWEEN

Mr. Frank _________ (m) (Passport Number.........) a full citizen of South Africa having a postal address at................................................ .................................................. .........,
Republic of South Africa (hereinafter referred to as “the Beneficiary of the first part;
AND
Mr. _________ (m){Passport Number.............) a full citizen of Ukraine (hereinafter referred to as “the Trustee of the second and final part.

WHEREAS: -
1. The Beneficiary is the Proprietor of all funds that is
currently deposited ........................................... (name of Bank) (hereinafter referred to as “the said Bank" at the amount of approximately Thirty Million Five Hundred Thousand United States Dollars (US$ 30,500,000.00) (hereinafter referred to as “the said Fund.

2. The Trustee is a businessman who has the expertise in undertaking business ventures and investment either in Ukraine or in other foreign countries.

3. The Beneficiary wishes to transfer the said Fund to Ukraine or other country in the manner to be described in this Agreement and to appoint the Trustee as the Trustee to the said Fund until certain period of time as it deems fit by the Beneficiary.

4. The Beneficiary also wishes to confer power to the Trustee to invest portion of the said Fund as a working capital into a viable business venture and investment as authorized from time to time by the Beneficiary.

5. The Trustee wishes to accept the appointment upon the terms and conditions herein contained.
6. The Beneficiary is represented by Ms Alr Ws & As of Dn Ms Ct , Cial B Cx, Durban ____, South
Africa (hereinafter referred to as “the Beneficiary’s Solicitors.

IT IS HEREBY AGREED BY BOTH PARTIES AS FOLLOWS: -
1. CONSIDERATION
In consideration of the appointment fees at the amount of Twenty Five Percent (25%) of the said Fund that is equivalent to Seven Million Six Hundred Twenty Five Thousand United States Dollars (US$ 7,625,000.00) to be paid in full to the Trustee on the date of execution of this Agreement and to be deducted from said Fund hereinafter referred to as “the Appointment Fees, the Beneficiary hereby appoint the Trustee as Trustee to hold and manage the balance of the said Fund in the name of the Beneficiary and Trustee hereby accept the appointment upon the terms and conditions herein contained.

2. CONDITION PRECEDENTS
2.1 The beneficiary hereby warrants to the Trustee that they shall at their Own cost obtain or cause to be obtained all necessary clearances and approval from all relevant authorities including from the Bank where the said Fund will be deposited, the Government of South Africa, the Bank where the Accounts (hereinafter defined) are to be opened by the Trustee in South Africa for the effective and safe transfer of the said Fund (hereinafter referred to as “the said Approvals.

2.2 The beneficiary hereby warrants that the transfer of the said Fund into The Accounts to be opened by the Trustee in South Africa , Ukraine or other foreign country does not violate any written law.

2.3 The beneficiary has obtained court order from the Court having Jurisdiction on this matter in South Africa for the transfer of the said Fund to Ukraine or other country.

2.4 The beneficiary agrees and warrants that the Beneficiary’s Solicitors have obtained all necessary clearances and approvals from the Bank for effective and safe transfer of the Fund either in full or in part to Ukraine or other Country.

2.5 The beneficiary agrees that should any problem what so ever arise on effecting the release of the Fund to the Accounts, the Beneficiary shall be held responsible by the authorities and the Trustee shall be discharged from his obligations under this Agreement but the Beneficiary shall pay the Trustee all costs and expenses incurred during the transaction even though it is not brought to completion.

3. METHOD OF TRANSFER OF THE FUND
3.1 The trustee shall immediately open a non resident current Account in a nominated Commercial Bank in Durban and in Ukraine or other Country and this account is a
Trust Account where the said Fund shall be deposited either in full or in part (hereinafter referred to as” the Accounts.

3.2 The signatory to the cheque from the Account shall be the Trustee at the limit of withdrawal amount to be fixed as follows:

3.3 The Trustee shall only be authorized to make any withdrawal From the Account upon receipt of a written mandate from the Beneficiary unless the amount is less than

3.4 The Trustee shall have the right to obtain reimbursement from Beneficiary for all costs and expenses incurred by him including the out of pocket expenses, provided that all receipts to such effect is produced to the Beneficiary.

4. THE POWER OF TRUSTEE
4.1 The Trustee is hereby authorized to invest the said Fund in the following manner: -
a) At any of the securities of the Government of the Country in Ukraine or other country discussed.
b) in any securities the interest on which is or shall be guaranteed by the Parliament or by the Government of such Country.
c) in or upon titles to immoveable properties in Europe , such titles being freehold titles or grants in perpetuity or leases (other than mining leases) for a term whereof sixty (60) years at least is unexpired at the time of such investment:

Provided that
(i) the land to which any such title relates shall be situated within the limits of any City, Municipality, Town Council or Town Board area; and
(ii) there be erected on the land to which such title relates houses or other buildings the gross rental whereof, together with the land appurtenant thereto, is at the time of such investment not less than seven per centum of the purchase price.

d) in fixed interest securities issued in with the Ukraine approval of the Treasury by any public authority established under Federal or State Law;
e) in loans to an approved company;
f) in loans the principal and interest on which is or shall be guaranteed by the Government of such Country and may also from time to time vary any such investment as aforesaid.
g) to allocate and utilize Ten Percent (10%) of the said Fund for transaction costs and all miscellaneous expenses including but not limited payments of tax, professional fees, charges, duties incurred by the Trustee or the agent appointed by the Trustee for investment purposes.

5. OBLIGATION OF THE TRUSTEE
5.1 In the exercise of any of his power of investment the Trustee shall regard: -
a) to the need for diversification of the investments of the Fund, and to the degree of risk attaching to the holding of any particular investment or of investments of any particular description; and
b) to the suitability to the investment, the description of investment proposed and of the
investment proposed as an investment of that description.
5.2 The Trustee whose power of investment is restricted to the Making of investments specified in Clause 4 of this Agreement shall, before exercising any power to invest in any securities, units or shares, obtain proper advice on the question whether the investment is satisfactory and shall consider the advice obtained from the personnel referred to in Clause 5.3.
5.3 The Trustee shall for the purpose referred to in this Clause Seek proper advice from a qualified and licensed stockbroker or a bank manager or a financial consultant and all cost for obtaining such advice shall be borne by the Beneficiary.
5.4 The Trustee shall have the right to determine at what interval And circumstances and in particular the nature of the investment and shall obtain advice from the authorized person referred above and to consider such advice accordingly. The Trustee shall not be
treated as having complied with the obligation described in this clause unless a written advice has been forwarded to the Beneficiary.
5.5 The Trustee shall have the discretion to exercise the power conferred on him but subject to any consent or discretion with respect to the investment of the said Fund from the Beneficiary.

5.6 The Trustee shall manage the Fund with utmost care and good Faith.
5.7 The Trustee shall keep this matter confidential.
5.8 The Trustee shall send to the Beneficiary quarterly reports of all investment transactions
carried out.
5.9 The Trustee shall not employ the services of any third party without the consent of the Beneficiary.

6. LIABILITY FOR LOSS BY REASON OF IMPROPER INVESTMENT
6.1 In the event the Trustee improperly advance the said Fund or any portion thereof on the security of a charge which would at the time of the investment be a proper investment in all respect for a smaller then is actually advance thereon, the security shall deemed and authorized investment for the smaller sum and the Trustee shall only be liable to make good the sum advance thereof with interest.

6.2 The Trustee shall not be considered as liable for any loss by Reason of improper investment in the event he has consulted a qualified and licensed stockbroker or financial consultant and the advice in writing has been forwarded to the Beneficiary.
7. PROFIT SHARING
7.1 The Beneficiary hereby agrees that the Trustee is entitled to a commission from all the profits earned from the investment by the Trustee. Such Commission shall be at the rate of ________ Per centum of the profits and shall be paid by the Beneficiary to the Trustee within fourteen (14) days from a Written notice from the Trustee.
8. TERMINATION CLAUSE
8.1 In the event the Trustee is in breach of any of Conditions of this agreement the Beneficiary shall have the right to terminate this agreement by giving forty five (45) days notice to the trustee and in such event the Trustee shall return all the necessary documents in relation to the Fund or the investment originated from the Fund to the Beneficiary and upon receipt of all the documents referred above the Beneficiary shall immediately pay and reimbursed all cost and expenses incurred by the Trustee together with any Profits from the investment made by the Trustee that the Trustee is entitled to receive by virtue of this Agreement.
8.2 The Trustee shall have the right to terminate thus Agreement In the event the Beneficiary fails or neglects to pay the Commission or the Appointment Fees that the Trustee is entitled to under this Agreement.
9. MISCELLANEOUS
9.1 Entire Agreement
This agreement embodies all the terms and conditions agreed upon between the parties hereto as to the subject matter of this Agreement and supersedes and cancels in all respects all previous agreements and undertakings, if any, between the parties hereto with respect to the subject matter hereof, whether such be written or oral. This Agreement may only be amended or varied by the mutual consent of the parties hereto in writing.

9.2 Indemnity
a) The Beneficiary hereby agree to indemnify the Trustee against all losses, damages, claims and any payment imposed by the authorities to the Trustee in the execution of his obligation as Trustee either the same arises during subsistence of this Agreement or upon termination of the same.
b) Any parties to this Agreement shall not do or omit or suffer to be done or committed any act matter or thing on or in respect of the said Fund which shall contravene the provisions of any Act Ordinance Enactment Order Rule or Regulation now or hereafter affecting the same and he shall at all times hereafter indemnify and keep indemnified the other party against all actions and proceedings, costs expenses claims and demands in respect of any such act matter or thing done or omitted to be done in contravention of the said provision.
9.3 No Waiver of Rights
No failure or delay on the part of the parties hereto in exercising nor any omission to exercise any right, power, privilege or remedy accruing to them hereunder upon any default on the part of the other party shall impair any such right, power, privilege or remedy or be construed as a waiver thereof or an acquiescence in such default, nor shall any action by any party in
respect of any default by the other party or any acquiescence in any such default affect or impair any right, power, privilege or remedy of any party in respect of any other or subsequent default.
9.4 Severance
If at any time during the subsistence of this Agreement any provision, condition, term, stipulation, covenant or undertaking of this Agreement is or becomes illegal, void, invalid, prohibited or unenforceable in any respect the same shall be ineffective to the extent of such illegality, voidness, invalidity, prohibition or unenforceability without invalidating or affecting the enforceability in any manner whatsoever the remaining provisions hereof.


9.5 Time of Essence
Time wherever mentioned herein is of essence of this Agreement.
9.6 Costs and Stamp
The Beneficiary shall pay the solicitor fees appointed by the Trustee and the Beneficiary together with the disbursement incurred in relation to this Agreement, by the Beneficiary’s Solicitor.
9.7 Interpretation
In this Agreement where the context admits.
a) words denoting the masculine gender include the feminine and neuter genders and vice versa;
b) words denoting the singular number include the plural number and vice versa;
c) reference to legislation or a provision of legislation includes a change or re enactment of
llegislation or a legislative provision substituted for, and legislation and statutory instruments and regulations issued under the legislation; and law


9.8 Assignment
All rights, benefits, obligation of the parties hereto shall not be assigned except with prior written consent from the other Party.


9.9 Governing Law
Both the Trustee and the Beneficiary agree to submit to the Law of the country in which the Fund is deposited yet the parties hereto agree that the governing law of any business transaction to be entered by the Trustee pursuant to powers conferred on him shall be the Laws of Ukraine and agree to submit to the non-exclusive jurisdiction of the Courts of Ukraine.

9.10 Binding Effect
This Agreement shall be binding on the respective successors in-title and permitted assigns of the parties hereto.

Что говорить а желание и вера в шару у нас в крови.

Так я думаю: это что дешёвая завлекаловка для авиакомпании или.....

а потом нужно будет перекинуть некую сумму на ентот счет- так как в стране началась война и счета с суммой предназначенной "для инвестиции" заморожены и вы единственный кто сможет помочь и будете "щедро" отблагодарены когда "пострадавший" типа сможет выехать из страны при вашей помощи. Он получит доступ к счету в другой части мира и вы получите свой "приз":
